Robert Q. Lee

Partner

  Prior to becoming a partner of Diaz, Reus & Targ, LLP, Robert Q. Lee practiced law with international and national firms.  Mr. Lee represents public, private, and emerging growth companies in corporate and commercial matters, mergers, asset and stock acquisitions and divestitures, reorganizations and roll-ups, business start-ups, project financing, securities offerings (registered stock, exempt offerings, secondary offerings, PIPEs), bond issues, corporate governance, private equity and mezzanine financing, securitizations, equipment financing, secured transactions, and franchising.     

        Mr. Lee has performed secured lending work for major banks, governmental agencies and other lending groups including the restructuring of loan facilities and complex multi-state commercial loan transactions involving the negotiation, drafting and review of credit agreements, mortgages, security agreements, financing statements, partnerships, stock and membership interest pledges, guaranties, intercreditor agreements, participation agreements, forbearance agreements, subordination agreements and other collateral documents. He has prepared and reviewed legal opinions in connection with multi-state loan transactions and non-consolidation legal opinions for workouts of distressed loans.

        Mr. Lee has represented issuers, underwriters and investors in connection with Regulation D exempt transactions and private placements, IPOs, the registration of securities with the Securities and Exchange Commission, and listing on U.S. stock exchanges and OTCBB. He also has provided counsel with respect to corporate governance, SEC reporting and Blue Sky legal compliance, NASD requirements, underwriting and IR agreements, legal opinions, and "comfort" letters.

        Mr. Lee has served as counsel to Fortune 500 companies, developers, investment funds and major landowners for commercial real estate matters including negotiation, drafting and review of real estate purchase and sale agreements for unimproved and improved real property. He has handled development, leasing, acquisition and disposition of land, retail and office centers, mixed-use complexes, hotels and resorts (including timeshare and fractional interest projects), restaurants, multi-unit residential developments, assisted living facilities, municipal properties and industrial parks and warehouses.  He has reviewed title, survey and permitting matters and prepared easements, reciprocal covenants, licenses, ground leases, management agreements and operating agreements.

        Mr. Lee has counseled multinational and Fortune 500 companies in connection with international business transactions and investments throughout the world with emphasis on Asia (China, Hong Kong, Korea, Taiwan and Vietnam) including project financing, mergers and acquisitions, letters of credit, bank guarantees, stock exchanges, reverse mergers with U.S. publicly traded entities, corporate reorganizations, equity and cooperative joint ventures, power generation projects, aviation related projects, technology joint ventures and strategic alliances, transnational technology transfers and licensing, manufacturing and development projects, WFOEs, import and export arrangements, international distribution agreements, international consortia agreements and foreign investments in real estate.  He has advised Chinese companies regarding immigration and corporate strategies regarding investments and acquisitions in the Americas. He also has conducted filings with MOFTEC, CAAC, SEZs, and provincial and municipal governments, and negotiated the structuring of preferential incentives for foreign enterprises in China.

        Knowledgeable of Chinese and Vietnamese languages.
